These Terms of Service ("Terms") govern your use of the websites, software platforms (including Pintar AI (pAI), Pintar ERP), and services provided by **Pintar Investments Limited and its Subsidiaries** ("Pintar Global," "we," "us," or "our").

By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of the terms, you must not use our services.

1. Acceptance and Agreement

1.1 Binding Agreement

These Terms constitute a legally binding agreement between you and Pintar Global. You represent that you are legally able to enter into this agreement.

1.2 Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will notify you of material changes via our website or email. Continued use of the Services after such changes constitutes acceptance of the new Terms.

2. Description of Services

Pintar Global provides cutting-edge technology and financial solutions, including but not limited to:

• Software Platforms: AI-Powered Enterprise Resource Planning (Pintar ERP), Explainable AI (pAI) solutions, and digital bookkeeping/e-invoicing services (Peppol).
• Data Services: Data Science, advanced analytics, modeling, and data governance.
• IoT & Smart Technologies: Smart City and industrial Internet of Things (IoT) solutions.
• Financial Services: AI-driven credit scoring and flexible financing solutions (Fintech).

3. User Obligations and Conduct

3.1 Lawful Use

You agree to use the Services only for lawful purposes and in accordance with these Terms.

3.2 Prohibited Conduct

You shall not:

• Use the Services to upload, post, transmit, or otherwise distribute any content that is unlawful, defamatory, harassing, abusive, fraudulent, or invasive of another’s privacy.
• Attempt to gain unauthorized access to any part of the Services, other user accounts, or connected systems or networks.
• Interfere with or disrupt the integrity or performance of the Services or the data contained therein.
• Use any AI-generated content (including output from pAI) in violation of any applicable laws, including those relating to intellectual property, copyright, or data protection.

3.3 Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Intellectual Property and Data Rights

4.1 Pintar Global IP

The Services, including all software, algorithms (including pAI), visual interfaces, graphics, design, logos, and documentation, are the exclusive property of **Pintar Investments Limited** or its licensors and are protected by international intellectual property laws.

4.2 User Data

You retain all ownership rights in the data you provide to the Services ("User Data"). You grant Pintar Global a non-exclusive, worldwide, royalty-free license to use, copy, transmit, and display User Data solely to the extent necessary to provide the Services and improve the performance of our AI models (as governed by the relevant Service Agreement and Privacy Policy).

5. Termination

5.1 Termination by Pintar Global

We may terminate or suspend your access to the Services immediately, without prior notice or liability, if you breach these Terms.

5.2 Effect of Termination

Upon termination, your right to use the Services will immediately cease. All provisions of the Terms which, by their nature, should survive termination (including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability) shall survive termination.

6. Disclaimer of Warranties

The services are provided on an **"AS IS"** and **"AS AVAILABLE"** basis. Pintar Global makes no warranty or representation that:

• The Services will function uninterrupted, securely, or be available at any particular time or location.
• Any defects or errors will be corrected.
• The results of using the Services, including any AI predictions or insights (pAI), will meet your requirements or be 100% accurate.

7. Limitation of Liability

In no event shall Pintar Global, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from: (i) your access to or use of, or inability to access or use, the Services; (ii) any conduct or content of any third party on the Services; or (iii) unauthorized access, use, or alteration of your transmissions or content.

8. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of **Malaysia**, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts of Malaysia.
